Agreement to Terms

By creating an Account or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

Access to the website and its contents

Through the Website, you may access a range of resources and content. For the purpose of these Terms of Use, "Content" includes, but not limited to, the following:

• Access to Software and Software-as-a-Service offerings ("Software") provided via the Website ("Software");
• Web pages and associated materials such as data, messages, text, images, graphics, audio, video, press releases, and product information made available on the Website;
• Comments, posts, messages, images, videos, sound recordings, and other materials shared or transmitted through our official blog.

Age Requirements and Authorization

• Age Representation: If you are under the age of thirteen (13), you represent that you have your parent or guardian’s permission to enter into these Terms.
• Business Use: RestroX Services are intended for business use within the restaurant and hospitality industry. For registering a business account, you confirm that:
  • Minimum Age Requirement: Account Holders must be at least 18 years old or have the consent and supervision of a parental or legal guardian, as applicable.
  • Employee Access: Business owners are solely responsible for managing employee access and are liable for any actions taken by their staff, regardless of employees' age.
  • Supervision of Minors: Any user under the age of 18 must be supervised by a legally competent adult who accepts full responsibility for the minor's use of the platform.
• Legal Authority: By using our Services, you represent that you possess the legal authority to enter into this Agreement, either on your own behalf or with proper authorization from your parental/guardian.

LICENSE GRANT AND RESTRICTIONS

Unless otherwise stated, RestroX and/or its licensors own the intellectual property rights for all material on RestroX. All intellectual property including the underlying software, source code, website design, databases, text, graphics, logos, icons, images, videos, and any other materials or content provided through our services (collectively, the “Content”) rights are reserved. You may access this from RestroX for your own personal use subject to restrictions set in these terms and conditions.

You must not:

• Republish material from RestroX
• Sell, rent, or sub-license material from RestroX
• Reproduce, duplicate or copy material from RestroX
• Redistribute content from RestroX

Updates

We may update, modify, or discontinue features at any time with reasonable notice of material changes.

Account Management and Security

Registration

To access certain features of the RestroX, you must create an account (“Account”). You agree to provide accurate, complete, and current information during registration and to update such information promptly to ensure its accuracy at all times.

Credentials

You are responsible for safeguarding your account credentials (such as username and password) and for all activities that occur under your Account. If you suspect any unauthorized access or use of your credentials or Account, you must notify us immediately. RestroX is not liable for any loss or damage arising from your failure to protect your credentials.

Authorized Users

If you are a business account holder, you may invite employees or representatives to access the Services as “Authorized Users.” You remain fully responsible for the actions of all Authorized Users and their compliance with these Terms. Misuse of the platform by Authorized Users may result in the suspension or termination of your Account.

Acceptable Use

You agree to use the Services only for lawful business purposes and in accordance with these Terms. You must not, and must not permit any Authorized User to:

• Use the Services that violates any applicable law or regulation
• Access or attempt to access accounts, data without authorization
• Distribute malicious software, spam, or content that is offensive, harmful, or violates the rights of others
• Interfere with or disrupt the integrity, performance, or security of the platform or its data
• Use the Services for any purpose intended to compete with RestroX

Violations of these may result in suspension or termination of your access to the Services, in addition to any legal actions available.

Content Standards

Any content you or your Authorized Users submit, upload, publish, or otherwise make available through the RestroX platform (“User Content”) must comply with applicable laws and regulations and must not infringe upon the rights of any third party.

Payment Terms and Billing

Expiry and Grace Period

• Upon the expiry of your current subscription term, a grace period of three (3) days will be granted. During this period, you may make payment to renew your subscription without interruption of service.

Renewal

• Subscriptions will only renew automatically upon receipt of payment for the next billing cycle. If payment is not made within the grace period, your access to the Services will be suspended until payment is made.

Refunds & Cancellations

• You may cancel your subscription at any time by terminating your account. Upon cancellation, your subscription will be deactivated at the end of the billing period, and you will not receive any refund for unused days.

Prices and Changes

• RestroX reserves the right to modify pricing or introduce fees for Services that were previously free. Any price changes will only take effect after the conclusion of your current billing cycle, ensuring you are not charged mid-term. You will not be charged for using any Service unless you have opted for a paid subscription plan.

Payment Processing

All payments are processed through trusted third-party payment providers, including PayPal, Stripe, NepalPay, FonePay, and RazorPay. Your payment-related data is handled in accordance with the privacy policies and terms of these providers.

Nepal Compliance and E-Billing

For users in Nepal, RestroX is verified by the Inland Revenue Department (IRD) as compliant software. You must obtain an E-Billing Certificate from respective Inland Revenue Office (IRO) before issuing electronically printed bills. If you are to use RestroX for E-Billing purpose, you must subscribe to our E-Billing feature and:

• You are responsible for obtaining and maintaining any required licenses or approvals from the IRD or other relevant authorities.
• Both you and RestroX agree to comply with all requirements, terms, conditions, and updates issued by the Inland Revenue Department of Nepal, including those set forth in the Electronic Billing Procedure, 2074 (विद्युतीय बीजक सम्बन्धी कार्यविधि, २०७४).
• Failure by either party to meet these requirements may result in fines or penalties imposed by the authorities.
• Each party agrees to indemnify and hold the other harmless for any losses, damages, or penalties incurred as a result of the other party’s non-compliance with these regulatory requirements.

Service Level and Support

Availability

RestroX is committed to providing a reliable and accessible service experience. While we strive for high availability of our Services, we do not guarantee uninterrupted or error-free operation. Scheduled maintenance, technical issues, or factors beyond our control may occasionally impact service availability.

Support

We provide support through comprehensive user guide and documentation available via our platform, assist through official email support during business hours.

Disclaimers and Warranties

As-Is

The RestroX Services, including all content, features, and functionality, are provided on an "as is" and "as available" basis. We do not guarantee that the Services will be uninterrupted, secure, error-free, or free from viruses or other harmful components.

No Professional Advice

To the fullest extent permitted by applicable law, RestroX shall not be liable for any direct, indirect, incidental, consequential, punitive, or exemplary damages including but not limited to loss of profits, revenue, business opportunity, data, or use, arising from or related to your use of or inability to use the Services, even if RestroX has been advised of the possibility of such damages.

LIMITATION OF LIABILITY

We will approve link requests from these organizations if we decide that: (a) the link would not make us look unfavorably to ourselves or to our accredited businesses; (b) the organization does not have any negative records with us; (c) the benefit to us from the visibility of the hyperlink compensates the absence of RestroX; and (d) the link is in the context of general resource information.

SUSPENSION AND TERMINATION OF ACCESS

RestroX reserves the right, at its sole discretion, to limit, suspend, terminate, modify, or revoke your access to the Website or any portion of the Services. We shall be under no obligation to compensate you for, and shall have no liability to you for, any losses or adverse results that are due to the suspension, termination, modification or deletion of your access to the website.

IP Infringement

Without limiting any other remedies available under these Terms, RestroX reserves the right to limit, suspend, or terminate access to the Website or any portions thereof, including any incorporated content, if we determine, in our sole discretion, that such access poses a risk or potential legal liability, infringes on the intellectual property rights of third parties, or otherwise violates the letter or spirit of our Terms and Policies. In such cases, we may delay or remove the infringing content and take any necessary technical and legal measures to prevent further unauthorized access or activity.

By You

You may terminate this Agreement at any time by canceling your subscription through your account settings or by notifying RestroX.

By RestroX

We may suspend or terminate your access to the Services at our sole discretion, including (but not limited to) cases of violation of these Terms, non-payment, suspected fraudulent or unlawful activity, or legal/regulatory requirements.

Effect of Termination

Upon termination, your access to the Services will end. Data associated with your account will be handled in accordance with our Privacy Policy. You may request to export your data within 30 days of termination. After this period, your data may be permanently deleted and unrecoverable.

Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Nepal, without regard to its conflict of law principles.

Dispute Resolution Procedure

Any disputes, claims, or controversies arising out of or relating to these Terms-including formation, interpretation, breach, or termination-shall first be resolved through good faith negotiations between the parties.

If a resolution is not reached within 30 days, the matter shall be referred to and finally resolved by binding arbitration administered by the Nepal Arbitration Council, with the seat of arbitration in Kathmandu, Nepal. The arbitration shall be conducted in English, and the decision of the arbitrator(s) shall be final and binding. Nothing in this section prevents either party from seeking injunctive or interim relief in a court of competent jurisdiction to prevent irreparable harm. For such purposes, both parties submit to the exclusive jurisdiction of the courts of Kathmandu, Nepal.

General Provisions

• Entire Agreement

  You are responsible for obtaining and maintaining any required licenses or approvals from the IRD or other relevant authorities.

• Severability

  If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

• Assignment

  You may not assign or transfer your rights or obligations under these Terms without prior written consent. RestroX may assign these Terms in connection with a merger, acquisition, or sale of assets.

• Force Majeure

  RestroX shall not be liable for any failure or delay in performance due to events beyond our reasonable control, including but not limited to natural disasters, war, labor disputes, government actions, or Internet service interruptions.
